CODE OF CONDUCT
Welcome to Three Over Six, a premier provider of luxury services and goods, including personal shopping, bespoke gift solutions, exclusive travel hosting, and premium restaurant services. Our commitment to excellence and customer satisfaction is paramount. To maintain the highest standards of quality and integrity, we require all our partners and suppliers to adhere to the following Code of Conduct.
1. Acceptance of this Code of Conduct
By accepting an assignment or agreeing to provide services or supply products for Three Over Six or our clients, each supplier are bound by and must comply with this Code of Conduct, such commitment includes:
a. Suppliers must ensure full compliance with this Code from the moment of job acceptance, guaranteeing that all services and products provided meet our specified luxury standards.
b. In the event of any inability to fulfill an assignment, service or supply a good according to the agreed terms, including adherence to this Code, suppliers are required to inform Three Over Six within 24 hours of becoming aware of such a situation. This provides our team with sufficient notice to mitigate any potential impact on client satisfaction.
c. Failure to adhere to this Code of Conduct, including the obligation for immediate compliance and mandatory notification, will result in swift action by [Your Company Name], up to and including termination of the supplier relationship and potential legal recourse.
d. Suppliers must review their operations to ensure alignment with this Code and make any necessary adjustments promptly. Your cooperation and commitment to these standards are essential for our continued partnership.
2. Booking Obligations
Prior to any engagement, suppliers must submit their Terms & Conditions to Three Over Six for review and approval (where available). This must include detailed provisions regarding cancellations, refunds, and timing to ensure transparency and mutual understanding before the commencement of any work.
It is the supplier's responsibility to ensure that these terms are clear, concise, and readily accessible to Three Over Six, facilitating an informed agreement process.
3. Insurance
Suppliers are required to take out and maintain a General Liability insurance policy with a minimum coverage of $20,000,000 AUD per incident. This insurance must encompass all activities, including but not limited to boat charters, nautical ventures, automotive and aviation transport, and any other charters, or other activities that carry an elevated risk of injury or damage.
Evidence of such insurance, reflecting the requisite coverage amount, must be provided to Three Over Six upon request and prior to the initiation of any services or activities.
4. Excellence in Service and Product Quality
Suppliers must ensure that all services and products provided meet the highest standards of professionalism, luxury, craftsmanship, and exclusivity. Attention to detail, personalised care, and adherence to bespoke requests are fundamental to our operation. Any specific request as booked by Three Over Six’s clientele and personnel should be accommodated and executed in accordance with the booking instructions given. If for any reason you are unable to supply the goods or services within the specified time period or in the specified way, you agree to notify Three Over Six as soon as possible, and otherwise no later than two (2) business days from the date the goods or services have been requested.
5. Ethical and Legal Compliance
Suppliers are expected to conduct their business ethically and in full compliance with all applicable laws and regulations. This includes, but is not limited to, laws related to consumer rights, luxury goods authentication, customs and import, and anti-bribery and corruption.
6. Sustainability and Ethical Sourcing
We are committed to sustainability and ethical practices in all aspects of our business. Suppliers must demonstrate a commitment to ethical sourcing, including the use of sustainable materials and ensuring that all products are sourced and produced responsibly and ethically.
7. Privacy and Confidentiality
Protecting our clients' privacy and personal data is a critical priority. Suppliers are required to comply fully with all relevant data protection laws, ensuring the confidentiality and security of any personal data accessed or processed during the provision of goods and services.
Your compliance with Australian Privacy and Personal Information Protection Act 1998 and the 13 Australian Privacy Principles (the APPs), as well as any other similar laws that apply to the collection of personal information and/or data ("Protected Data"), is a condition of your continued status as a Three Over Six supplier. You acknowledge that you must obtain all consents that are required for the processing of personal data to the extent necessary for the purposes of this Agreement, including, but not limited to, the disclosure of such Protected Data to Three Over Six or any third parties with whom you may share personal data for the purposes of providing goods and/or services.
In addition, you pledge to process and secure Protected Data to the highest industry standards and not retain nor sell Protected Data. Each party shall indemnify the other and keep the other indemnified against all claims, demands, actions, costs, expenses (including, but not limited to, legal costs and disbursements on a full indemnity basis), losses, and damages that result from or are attributable to the other party's improper handling of Protected Data.
8. Cardholder Information
Should Three Over Six provide you with cardholder information, including credit or debit card details, it is your sole responsibility to ensure the security and confidentiality of this data, regardless of the format (orally, electronically, offline or via paper-based records). You are obligated to implement and maintain robust security measures that meet or exceed industry standards to protect this sensitive information.
If Three Over Six assesses your data security practices as insufficient or non-compliant with our standards, we reserve the unilateral right to terminate any service agreements with immediate effect. This action is a measure to safeguard the financial information and trust of our clients, emphasising the critical importance we place on data security within our Code of Conduct.
9. Limitation of Liability
It is hereby explicitly understood and agreed that Three Over Six assumes no responsibility or liability for the provision, quality, delivery, or any aspect related to the goods or services supplied by its partners or suppliers. The obligation to ensure the quality, legality, and safety of the provided goods and services rests solely with the supplier.
The Supplier hereby agrees to fully indemnify, defend, and hold harmless Three Over Six, along with its affiliates, officers, directors, employees, and agents (collectively referred to as the "Indemnified Parties"), from all claims, liabilities, damages, losses, costs, and expenses, including but not limited to attorney's fees and legal costs, that arise out of or are in any way connected with:
a. The provision, non-provision, or any defects in the goods or services supplied by the Supplier, regardless of whether such issues are direct or indirect.
b. Any violation or breach by the Supplier of any laws, regulations, or standards that govern the manufacturing, sale, or distribution of the goods or services offered.
c. Acts of negligence, fraud, or wilful misconduct committed by the Supplier or its employees, contractors, or agents during the provision of goods or services.
d. Any third-party claims, including those from customers, related to the goods or services provided by the Supplier.
The supplier agrees to promptly notify Three Over Six of any potential or actual claim, litigation, or investigation that may involve the goods or services provided or that may invoke this indemnification clause. The supplier further agrees to cooperate fully with Three Over Six in the defence, settlement, or handling of any such claims, including providing access to relevant documents, information, and personnel.
10. Client Protection and Reputation Safeguarding
As a partner of Three Over Six, you commit to respecting the business relationships established by Three Over Six. You, along with any employee, associated company, or affiliates, are prohibited from soliciting or accepting business, directly or indirectly, from any clients, customers, partner brands, or other suppliers of Three Over Six without explicit written approval from Three Over Six.
As a supplier, you are also restricted from initiating contact, soliciting business, or engaging in transactions with these entities for purposes beyond the provision of agreed-upon services, unless you have obtained prior written consent from Three Over Six.
You acknowledge that it is imperative that you and your employees uphold the highest standards of professionalism and respect towards Three Over Six, including its clientele, employees, and partner brands. Under no circumstances should there be any actions or communications that could be construed as disparaging or harmful to the reputation of Three Over Six or its associates, whether in written or verbal form.
